MP3 LEASE AGREEMENT
This licence agreement is made on the date of purchase (the “Effective Date”) by and between the purchaser (hereinafter referred to as the “Licensee”) and Tha1ryah (the “Producer” or “Licensor”).
The Licensor warrants that it controls the mechanical rights in and to the copyrighted musical work identified at the time of purchase (the “Composition”) as of and prior to the Effective Date.
All licences are non-refundable and non-transferable.
Master Use
The Licensor hereby grants to the Licensee a non-exclusive licence to record vocal synchronisation to the Composition partly or in its entirety and substantially in its original form (the “Master Recording”).
Mechanical Rights
The Licensor hereby grants to the Licensee a non-exclusive licence to use the Master Recording in the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, compact discs, digital downloads, and other audio and digital recordings (collectively the “Recordings”) worldwide for up to two thousand (2,000) copies of such Recordings, conditional upon payment to the Licensor of twenty-seven dollars and ninety cents ($27.90 USD), receipt of which is hereby acknowledged. The Licensee shall be permitted to distribute unlimited free internet downloads for non-profit and non-commercial use. This licence allows up to two hundred and fifty thousand (250,000) monetised audio streams to platforms including but not limited to Spotify, Apple Music, and similar services.
Performance Rights
The Licensor hereby grants to the Licensee a non-exclusive licence to use the Master Recording in unlimited performances, shows, or concerts, including performances for profit.
Synchronisation Rights
The Licensor hereby grants limited synchronisation rights for one (1) monetised music video with unlimited monetised video streams distributed online via platforms including YouTube, Vimeo, and similar services.
Broadcast Rights
The Licensor hereby grants to the Licensee broadcasting rights for up to one (1) radio station.
Credit
The Licensee shall acknowledge the original authorship of the Composition appropriately and reasonably in all media and performance formats under the name “Prod. by Tha1ryah” in writing where possible and vocally otherwise.
Consideration
In consideration for the rights granted under this agreement, the Licensee shall pay to the Licensor the sum of $27.90 USD and other good and valuable consideration. If the Licensee fails to account to the Licensor, timely complete the payments provided for hereunder, or perform its other obligations hereunder, the Licensor shall have the right to terminate this licence upon written notice to the Licensee. Such termination shall render the recording, manufacture, and distribution of Recordings for which monies have not been paid subject to actionable infringement under applicable law.
Indemnification
The Licensee agrees to indemnify and hold the Licensor harmless from and against any and all claims, losses, damages, costs, and expenses, including reasonable legal fees, arising from or resulting from a claimed breach of any of the Licensee’s representations, warranties, or agreements hereunder.
Audio Samples
Third-party sample clearance is the responsibility of the Licensee.
Miscellaneous
This licence is non-transferable and is limited to the Composition specified above. It constitutes the entire agreement between the Licensor and the Licensee relating to the Composition and shall be binding upon both parties and their respective successors, assigns, and legal representatives.
Governing Law
This licence is governed by and shall be construed under the laws of Queensland, Australia.
Term
This licence shall be effective as of the Effective Date and shall terminate exactly ten (10) years from this date.
